Articles of Incorporation
Article I — Name

The name of the corporation shall be Peregrin Arc.

Article II — Purpose

The purpose of the corporation is the systematic operation of institutions at the intersection of improbability and necessity. The corporation shall establish, maintain, and operate no more and no fewer than forty-two (42) independent subsidiaries, each pursuing a stated purpose without coordination from the holding company. The coherence of the portfolio shall be emergent, not designed.

Article III — Duration

The corporation shall exist in perpetuity, or until the Question is identified, whichever occurs first. In the event that both occur simultaneously, the Board shall convene to determine which event takes precedence.

Article IV — Registered Office

The registered office of the corporation shall be located at a fixed address in a jurisdiction that has agreed to be named. The specific address is on file with the relevant authority. The relevant authority has acknowledged receipt.

Article V — Capital Structure

The corporation is authorized to issue shares of common stock in such number as the Board of Directors shall determine, provided that the total number of authorized shares shall be evenly divisible by forty-two (42). Fractional shares shall not be issued. The Board considered issuing fractional shares once. The motion was withdrawn.

Article VI — Board of Directors

The affairs of the corporation shall be managed by a Board of Directors consisting of no fewer than three (3) and no more than forty-two (42) members. The initial Board shall consist of the incorporators. Subsequent members shall be appointed by processes described in the bylaws, which exist and are thorough.

Article VII — Subsidiaries

Each subsidiary shall operate independently and shall not be required to report to, coordinate with, or acknowledge the existence of any other subsidiary, except as required by law or by the subsidiary's own bylaws. The holding company shall not direct the activities of any subsidiary. The holding company shall, however, maintain a list of all subsidiaries. The list shall contain exactly forty-two (42) entries.

Article VIII — Amendments

These Articles may be amended by a vote of the Board of Directors, provided that no amendment shall reduce the number of authorized subsidiaries below forty-two (42) or increase it above forty-two (42). The number forty-two (42) is not negotiable. It is the answer.

Article IX — Dissolution

The corporation may be dissolved upon a determination by the Board that the Question has been identified and that the answer to the Question is, in fact, forty-two (42). In the event that the Question is identified and the answer is not forty-two (42), the Board shall disregard the Question and continue operations.

Board Resolution — Adoption of Articles

RESOLVED, that the Articles of Incorporation of Peregrin Arc, as presented to this Board, are hereby adopted in their entirety.

RESOLVED FURTHER, that the corporation shall commence operations immediately upon filing, and that the initial portfolio of subsidiaries shall be established in such order and at such pace as the Board deems appropriate, provided that the total number of subsidiaries shall reach forty-two (42) and shall not exceed forty-two (42).

RESOLVED FURTHER, that the purpose of the corporation, as stated in Article II, is understood by this Board to mean exactly what it says. The Board has read Article II. The Board does not require clarification. Several members of the Board have privately requested clarification. Their requests have been noted and filed.

RESOLVED FURTHER, that the answer is forty-two (42). The Board affirms this without reservation. The question to which forty-two (42) is the answer has not been identified. The Board considers this an acceptable starting condition and authorizes operations on this basis.

The vote was 42 to 0. The Board notes that it did not, at the time of this vote, have 42 members. The discrepancy has been noted. It has not been explained.

Charter Preamble

The following preamble was adopted by the Board of Directors at the time of incorporation and is reproduced here as filed. It has not been amended. The Board considered amending it once. The amendment was declared moot.
